1. Acceptance of Terms

By accessing and using the Anton Logic website (antonlogic.com), as well as by contracting any of our services, you accept and agree to comply with these Terms of Service. If you do not agree with any of these conditions, we recommend that you do not use our website or contract our services.

These terms constitute a legally binding agreement between you (hereinafter, “the Client”) and Anton Logic (hereinafter, “the Company”, “we” or “our”). By submitting a contact form, requesting a quote, or signing a service contract, you confirm that you have read, understood, and accepted these terms in their entirety.

2. Description of Services

Anton Logic is a company dedicated to technology development and digital solutions. Our service catalog includes, but is not limited to:

Technology consulting: Assessment of systems and processes, technology roadmaps, selection of tools and vendors, and technical review of software projects.
Web and custom software development: Corporate and e-commerce websites, custom applications, management systems, process automation, APIs, and integrations with third-party systems.
Systems scaling and modernization: Audits of existing systems, legacy system and data migration, Java version upgrades, refactoring, and performance optimization.
Cloud infrastructure management: Design, deployment, monitoring, backups, and security of the infrastructure that runs the applications.

The specific details of each project, including scope, deliverables, timelines, and costs, will be defined in individual proposals or specific contracts agreed upon by both parties.

3. Website Usage Rules

By using our website, you agree to:

Use the website exclusively for lawful purposes and in accordance with these Terms of Service.
Not attempt unauthorized access to any part of the website, servers, or connected databases.
Not reproduce, duplicate, copy, sell, or exploit any part of the website without express written authorization.
Not introduce viruses, trojans, worms, logic bombs, or any other malicious or technologically harmful material.

Anton Logic reserves the right to restrict access to any user who violates these conditions, without prior notice and without any liability.

4. Intellectual Property

All content on the Anton Logic website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and data compilations, is the property of Anton Logic or its content providers and is protected by Mexican intellectual property laws and international treaties.

Regarding projects developed for our clients:

Source code developed specifically for the client will be transferred once full payment for the project has been completed, unless otherwise agreed in writing.
Anton Logic reserves the right to use its own components, libraries, and tools that may be reused in other projects.
Third-party frameworks, libraries, and open-source tools used in projects maintain their respective original licenses.
Anton Logic may use the project as a reference in its portfolio, unless otherwise agreed through a confidentiality agreement.

5. Services and Quotes

Quotes provided by Anton Logic are estimates based on the requirements communicated by the client at the time of consultation. The conditions of each project will be governed by the following provisions:

Quotes are valid for 30 calendar days from the date of issuance, unless otherwise indicated.
Prices may vary if the project scope changes after quote acceptance. Any changes will be communicated and must be approved by the client before implementation.
Delivery timelines are estimated and may vary depending on project complexity and how quickly the client provides necessary materials, feedback, and approvals.
A minimum advance payment of 50% is required to begin any project, unless otherwise agreed in writing. The remaining balance must be covered according to the agreed payment schedule.
Advance payments are non-refundable once work has begun.

6. Confidentiality

Anton Logic is committed to maintaining the confidentiality of all information provided by the client during the business relationship. This includes, but is not limited to:

Business data, strategies, and financial information.
Access credentials, technical data, and system architecture.
Personal information of employees, clients, or end users of the client.
Internal documentation, operational processes, and any material provided for project development.

This confidentiality obligation will remain in effect during and after the termination of the business relationship, for a minimum period of 5 years. Both parties may sign a separate Non-Disclosure Agreement (NDA) if required.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

Anton Logic shall not be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.
Anton Logic's total liability to the client shall not exceed the total amount paid by the client for the specific services giving rise to the claim.
Anton Logic shall not be liable for delays or failures caused by force majeure events, including natural disasters, pandemics, armed conflicts, internet service provider failures, or governmental acts.
Anton Logic does not guarantee that the website or services will be free from errors, viruses, or other harmful components at all times.
The client is responsible for maintaining backups of their own data and content.

8. Warranties

Anton Logic offers a 30-day warranty period after the final delivery of the project. During this period:

We will correct at no additional cost any errors or functional defects found in the delivered work, provided they are related to the original project scope.
Minor adjustments within the initially agreed specifications will be addressed.
The warranty does not cover modifications made by the client or third parties after delivery.
The warranty does not cover issues caused by changes in third-party services (hosting, external APIs, browser updates, etc.).
Requests involving new features, significant design changes, or expansion of the original scope will be quoted as additional work.

After the warranty period, Anton Logic offers maintenance and technical support plans that can be contracted separately.

9. Termination

Either party may terminate the business relationship under the following conditions:

By the Client: You may cancel a project at any time upon written notice. Payments made up to the date of cancellation are non-refundable, and the client will receive the work completed up to that point.
By Anton Logic: We may terminate a project if the client fails to meet payment obligations for more than 30 days, fails to provide necessary materials or feedback within reasonable timeframes, or if circumstances arise that make it impossible to continue the project.
By Mutual Agreement: Both parties may agree to terminate the project at any time, establishing the corresponding settlement terms.

In the event of termination, the confidentiality, intellectual property, and limitation of liability clauses will remain in effect as established in these terms.

10. Modifications to Terms

Anton Logic reserves the right to modify these Terms of Service at any time. Modifications will take effect upon publication on our website.

It is the user's responsibility to periodically review these terms to stay informed of any changes. Continued use of our website or services after changes are posted constitutes acceptance of the modified terms.

For ongoing projects, any changes to the terms that directly affect the project will be communicated to the client and will require their written consent.

11. Applicable Law

These Terms of Service shall be governed by and construed in accordance with the current laws of the United Mexican States. For any controversy arising from the interpretation or fulfillment of these terms, the parties submit to the jurisdiction of the competent courts of the city of Morelia, Michoacán, Mexico, expressly waiving any other jurisdiction that may correspond to them due to their current or future domicile.

If any provision of these terms is found to be invalid or unenforceable, such provision shall be interpreted as broadly as possible in accordance with applicable law, and the other provisions shall continue in full force and effect.
